Terms of Service

1. Acceptance of Terms

By accessing or using BeProSe at BeProSe.ca ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms constitute a legally binding agreement between you and BeProSe Inc. ("we," "us," or "our"), based in Ontario, Canada.

2. Description of Service

BeProSe is a document preparation service that uses automated document drafting tools to assist self-represented litigants in drafting court documents for Canadian proceedings.

IMPORTANT: BeProSe is NOT a law firm and does NOT provide legal advice. Nothing generated by BeProSe constitutes legal advice, legal representation, or a lawyer-client relationship. You are solely responsible for reviewing any documents generated by BeProSe with a licensed lawyer or paralegal before filing them with any court or tribunal. Filing incorrect or deficient documents may have serious legal consequences.

3. Eligibility

You must be at least 18 years of age to use BeProSe. By using the Service, you represent that you meet this requirement and have the legal capacity to enter into these Terms.

4. Accounts

You must create an account to access BeProSe. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at legal@beprose.ca if you suspect unauthorized access. We reserve the right to refuse registration or cancel accounts at our discretion.

5. Subscription Plans and Pricing

BeProSe offers the following pricing options:

Free First Document: Your first document is free with no account or credit card required.

Single Document — $19.99 CAD: One court-ready document. One-time payment, no subscription.

5-Document Pack — $79.99 CAD: Five court-ready documents. No expiry.

Standard Plan — $49/month CAD (or $399/year): Unlimited documents, document upload and analysis, full procedure wizard, saved case history, and deadline reminders.

Pro Plan — $149/month CAD: All Standard features plus hearing prep assistant, evidence organizer, cross-examination prep, and priority support.

Subscription plans renew automatically unless cancelled. Prices are in Canadian dollars and subject to applicable taxes. We reserve the right to change pricing with 30 days' notice to existing subscribers.

6. Payment and Billing

Payments are processed by Stripe. By subscribing to a paid plan, you authorize Stripe to charge your payment method on a recurring monthly basis. You agree to Stripe's terms of service at stripe.com/legal.

Subscriptions renew automatically unless cancelled. You may cancel at any time through your account settings. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial months. If a payment fails, we may suspend your account until payment is resolved.

7. Acceptable Use

You agree not to use BeProSe to:

8. Intellectual Property

The BeProSe platform, including its software, design, branding, and underlying technology, is owned by BeProSe Inc. and protected by applicable intellectual property laws.

Documents you generate using your own input content are yours. We do not claim ownership over the content of documents you produce. However, you grant us a limited license to process your inputs for the purpose of delivering the Service.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE; (B) DOCUMENTS GENERATED WILL BE LEGALLY SUFFICIENT, ACCURATE, OR ACCEPTED BY ANY COURT; (C) THE SERVICE WILL MEET YOUR SPECIFIC LEGAL NEEDS. YOU ASSUME FULL RESPONSIBILITY FOR REVIEWING AND VERIFYING ALL DOCUMENTS BEFORE USE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BEPROSE INC. AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF REVENUE, OR LEGAL OUTCOMES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE 3 MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED CANADIAN DOLLARS ($100 CAD). NOTHING IN THESE TERMS LIMITS LIABILITY FOR FRAUD, GROSS NEGLIGENCE, OR ANY LIABILITY THAT CANNOT BE EXCLUDED BY LAW IN ONTARIO.

11. Indemnification

You agree to indemnify and hold harmless BeProSe Inc. and its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; or (c) any documents you file with a court or tribunal.

12. Account Termination

You may close your account at any time through your account settings or by contacting legal@beprose.ca.

We may suspend or terminate your account immediately, without notice or refund, if: (a) you violate these Terms; (b) we are required to do so by law; or (c) we reasonably believe your use of the Service poses a risk to us, other users, or third parties. Upon termination, your right to access the Service ceases. We will handle your data in accordance with our Privacy Policy.

13. Changes to the Service and Terms

We reserve the right to modify, suspend, or discontinue the Service at any time with reasonable notice. We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on BeProSe.ca. Continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and BeProSe Inc. with respect to the Service and supersede all prior agreements and understandings.
